These Terms of Service ("Terms") govern your access to and use of the Know Reply platform, including our website at knowreply.ai and the application at app.knowreply.ai (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@knowreply.ai if you suspect unauthorized access to your account.
3. Acceptable Use
You agree to use the Service in compliance with all applicable laws and regulations. You may not use the Service for any unlawful purpose or in violation of our Acceptable Use Policy. We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these Terms.
4. AI-Generated Content
Know Reply uses artificial intelligence to analyze emails and generate suggested responses. You acknowledge and agree that:
- AI-generated responses are suggestions only and may contain errors, inaccuracies, or inappropriate content
- You are solely responsible for reviewing, editing, and approving any AI-generated content before sending it
- Know Reply does not guarantee the accuracy, completeness, or suitability of any AI-generated response
- AI-generated content does not constitute legal, medical, financial, or other professional advice
- We are not liable for any consequences arising from your use of AI-generated responses
5. Intellectual Property
The Service, including its design, features, code, and documentation, is owned by Know Reply and protected by intellectual property laws. You retain ownership of any content you submit to the Service. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service. We do not claim ownership of your email content or the AI-generated responses created for you.
6. Subscription and Billing
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to the pricing, payment terms, and billing practices described on our pricing page and in our Billing Terms. Subscriptions automatically renew unless cancelled before the renewal date. Please review our Refund Policy for information about cancellations and refunds.
7. Termination
You may close your account at any time through your account settings or by contacting support@knowreply.ai. We may suspend or terminate your account if you breach these Terms, engage in prohibited activities, or fail to pay applicable fees. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy, except as required by law.
8. Limitation of Liability
To the maximum extent permitted by law, Know Reply and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service. Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to Know Reply in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of AI-generated content. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Indemnification
You agree to indemnify, defend, and hold harmless Know Reply and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
11. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association. Each party waives the right to participate in a class action lawsuit or class-wide arbitration.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
13. Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where possible, by email. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Service and close your account.
